Terms of Service

These Terms of Service (“Terms”) govern your access to and use of the SimuTele website, portal, APIs, SMPP connectivity, messaging tools, and related services (collectively, the “Services”). The Services are provided by 925 Telecom LLC, doing business as Range Networks and operating the SimuTele service (“Range,” “SimuTele,” “we,” “us,” or “our”).

If you use the Services for a business or other organization, you represent that you have authority to accept these Terms for that organization. “You” means both you and that organization. By creating an account or using the Services, you agree to these Terms. If you do not agree, do not use the Services. A separate signed agreement or order form may apply to your account; if it conflicts with these Terms, the signed agreement controls for the conflicting subject.

1. The Services and your account

SimuTele provides business messaging tools, including account and campaign management, message submission, APIs, SMPP connectivity, routing, and delivery reporting. Features may vary by account, destination, carrier, or plan.

You are responsible for the accuracy of information submitted through your account and for keeping account credentials secure. You must promptly notify us of suspected unauthorized access. You are responsible for activity under your account, including activity by your authorized users.

We may update, improve, restrict, or discontinue a feature. The Services depend on internet connections, carriers, and other third-party networks. Message submission does not guarantee that a message will be delivered, delivered within a particular time, displayed to a recipient, or accepted by a recipient’s device or carrier.

2. Customer messages and compliance responsibilities

If you use SimuTele to send messages to your own customers, contacts, or other recipients, you are the sender and are responsible for your messaging program.

You must:

  • obtain and keep the consent and records required for each recipient, message type, and campaign;

  • clearly identify yourself and describe the messages people will receive when you ask them to opt in;

  • use consent only for the campaign and sender for which it was obtained;

  • provide your recipients with applicable program terms and privacy information;

  • register and use the campaign, brand, sender, and traffic type required by applicable laws, carriers, and messaging providers;

  • promptly honor STOP and other reasonable opt-out requests, and provide appropriate HELP or customer-care support; and

  • ensure your messages, recipient lists, and use of the Services comply with applicable law, carrier rules, and your agreements with recipients.

A person’s use of SimuTele or receipt of one of your messages does not, by itself, establish consent to receive messages from you. Consent to receive a SimuTele portal sign-in code is separate from consent to receive messages sent by a SimuTele customer. You may not use SimuTele’s portal verification program to send your own messages.

You must not send messages that are unlawful, deceptive, fraudulent, abusive, threatening, unsolicited in violation of applicable requirements, or designed to evade carrier filtering or opt-out controls. You must not use the Services to impersonate another person or organization, distribute malware, interfere with a network or service, or access an account or system without authorization.

We may reject, pause, or suspend traffic that we reasonably believe violates these Terms, applicable requirements, or a carrier or provider rule, or that may expose recipients, Range, SimuTele, or a provider to harm or liability.

3. SimuTele portal sign-in verification texts

SimuTele may send a text message containing a one-time verification code to the mobile number entered when someone requests a code on the SimuTele portal.

By entering your mobile number and selecting “Get code,” you consent to receive a one-time transactional SMS from SimuTele for that sign-in request. These messages are used to verify sign-in requests and are not promotional messages.

Messages are sent only in response to a code request. Message frequency varies with sign-in activity. Standard message and data rates may apply. Reply STOP to stop future SimuTele verification texts. Reply HELP for help, or contact us at info@simutele.com or +1 804-729-0181. See our Privacy Policy. Carriers are not liable for delayed or undelivered messages.

These terms apply only to SimuTele’s own portal sign-in verification messages. Messages sent by a SimuTele customer are that customer’s separate messaging program, and that customer is responsible for its own sender identity, consent, terms, privacy notices, and opt-out handling.

4. Fees and prepaid service

Fees and rates are shown in your account, order form, or other written agreement. Unless we agree otherwise in writing, Services are prepaid and you must maintain enough available balance to use them. You are responsible for applicable taxes and third-party charges disclosed to you.

Unless a written agreement says otherwise, messaging charges are based on the message segments submitted through the Services and are not contingent on successful delivery. A segment may remain chargeable if a carrier or provider later rejects, filters, delays, or fails to deliver it. Longer messages may be divided into multiple billable segments. Rates may change for future use; we will provide any notice required by your agreement or applicable law.

5. Your content and our rights

You retain rights in the content and data you submit. You give us permission to process that content and data as reasonably necessary to provide, secure, support, and improve the Services, comply with law, and enforce these Terms.

The Services, software, documentation, designs, and related technology are owned by Range or its licensors. These Terms give you a limited, revocable, non-exclusive right to use the Services for your business while your account is active. You may not copy, resell, reverse engineer, or create a competing service from the Services except where applicable law does not allow that restriction.

6. Privacy

Our Privacy Policy explains how we collect, use, and disclose information. If you send messages through SimuTele, you are responsible for providing any privacy notices required for your own program and for handling recipient requests relating to your messages.

7. Suspension and termination

You may stop using the Services at any time. You may request account closure by contacting us. You remain responsible for fees incurred before closure.

We may limit, suspend, or terminate access if you breach these Terms, fail to pay amounts due, create a security or compliance risk, or if required by law, a carrier, or a service provider. Where reasonable, we will provide notice and an opportunity to address the issue. Sections that by their nature should continue after termination will survive, including fees owed, intellectual property, disclaimers, liability limits, and indemnification.

8. Third-party networks and providers

The Services may use carriers, messaging providers, hosting services, and other third parties. Their networks and services are outside our control and may be unavailable, delayed, filtered, or changed. We are not responsible for a third party’s network or service, subject to rights that cannot be limited under applicable law.

9. Disclaimers

To the maximum extent permitted by law, the Services are provided “as is” and “as available.” We disclaim implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant uninterrupted service, specific delivery rates, delivery times, or that a message will reach or be read by its intended recipient.

10. Limitation of liability

To the maximum extent permitted by law, Range and its affiliates, officers, employees, and providers will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenue, business opportunities, goodwill, or data.

To the maximum extent permitted by law, the total liability of Range and its affiliates arising out of or relating to the Services or these Terms will not exceed the fees you paid for the affected Services during the 12 months before the event giving rise to the claim. These limits do not apply where applicable law does not allow them.

11. Indemnification

You will defend and indemnify Range and its affiliates, officers, employees, and providers against third-party claims, losses, and reasonable costs arising from your messages or content, your recipients or recipient lists, your failure to obtain or honor consent, your violation of law or carrier rules, or your breach of these Terms. We will give you reasonable notice of a claim and cooperate with your defense at your expense. You may not settle a claim in a way that admits fault by or imposes an obligation on us without our written consent.

12. Changes to these Terms

We may update these Terms by posting a revised version here and changing the effective date. If a change materially affects your use of the Services, we will provide notice where required by law or your agreement. Your continued use after the revised Terms take effect means you accept the updated Terms.

13. Governing law

These Terms are governed by the laws of the Commonwealth of Virginia, without regard to conflict-of-law principles. The state and federal courts located in Richmond, Virginia will have jurisdiction over disputes relating to these Terms, except where applicable law requires another forum.
